Real-world asset tokenization has become DeFi’s most credible answer to a simple institutional question: where is the cash flow? After the 2020-2021 liquidity boom and the 2022 credit unwind, the sector’s strongest product-market fit is no longer 1,000% incentive farming; it is putting short-duration government debt, fund shares, invoices, private credit and deposits into programmable rails.
The timing matters. In mid-2024, tokenized U.S. Treasury products surpassed roughly $1.5 billion in assets, according to RWA.xyz trackers, still tiny beside the more than $6 trillion U.S. money-market fund complex but large enough to prove demand. BlackRock’s BUIDL fund, Franklin Templeton’s BENJI, Ondo Finance’s OUSG and USDY, Superstate’s USTB, Maple Finance pools and Centrifuge vaults are not experiments in branding; they are attempts to make regulated yield composable with DeFi settlement.
Why RWAs Became DeFi’s Most Practical Growth Market
DeFi’s original yield engine was endogenous: trading fees, token emissions, lending demand and liquidation penalties. That model works in bull markets but compresses when leverage falls. U.S. Treasury bills yielding above 5% in 2023 and much of 2024 changed the calculus because TradFi’s safest collateral suddenly paid more than many DeFi strategies with less smart-contract risk.
This is why tokenized Treasuries became the first institutional-grade RWA category to scale. They are liquid, short duration, familiar to compliance teams and easy to value daily. A token representing exposure to Treasury bills is not equivalent to holding T-bills directly, but it gives crypto-native treasuries, DAOs and market makers a dollar-denominated yield instrument without moving fully off-chain.
MakerDAO demonstrated the strategic value earlier than most. Through structures including Monetalis Clydesdale and BlockTower-related RWA arrangements, Maker shifted billions of dollars of collateral exposure toward short-duration U.S. government debt and institutional credit. The economic effect was direct: real-world yield helped fund the Dai Savings Rate and reduced dependence on volatile crypto lending spreads.
The important shift is not that Wall Street assets are being “put on blockchain.” It is that DeFi protocols are learning to underwrite off-chain cash flows while preserving on-chain transparency where it actually improves market structure.
How Tokenization Works Under the Hood
A serious RWA token is not just an ERC-20 with a treasury-themed name. The structure usually has five layers: a legal issuer or SPV, a custodian or broker holding the underlying assets, a transfer agent or fund administrator, an oracle or attestation process for net asset value, and a smart contract enforcing ownership and transfer rules.
BlackRock’s BUIDL illustrates the institutional template. The fund is issued on Ethereum through Securitize, invests in cash, U.S. Treasury bills and repurchase agreements, and pays yield through token distributions. Investors must pass onboarding checks, which means the token behaves differently from permissionless collateral like ETH or USDC. It is programmable, but not universally transferable.
Franklin Templeton’s BENJI is another useful case because it shows that tokenization is not limited to crypto-native issuers. The Franklin OnChain U.S. Government Money Fund records shares using blockchain infrastructure and has expanded beyond Stellar to networks such as Polygon. The value proposition is operational: faster recordkeeping, potential intraday settlement and a path toward fund shares that can interact with digital wallets.
The technical standard matters because compliance is embedded at the token layer. ERC-20 is liquid and broadly compatible but weak for regulated transfer restrictions. ERC-1400, ERC-3643 and permissioned token frameworks allow whitelisting, forced transfers, identity checks and jurisdictional controls. These features reduce composability but are often necessary for securities-law compliance.
The Yield Stack: Where Investors Actually Earn
RWA yields are often marketed as simple “on-chain T-bill yield,” but the investor return is a stack of components. Gross asset yield comes from Treasury bills, repo, private credit coupons or invoice finance. From that, investors must subtract fund expenses, custodian fees, structuring costs, management fees, blockchain transaction costs and, in some cases, spread retained by the issuer.
For tokenized Treasury products, the net yield has typically tracked short-term U.S. rates with a modest haircut. Ondo’s OUSG targets qualified purchasers seeking tokenized exposure to short-duration government bond ETFs, while USDY is structured for non-U.S. users as a yield-bearing note backed by bank deposits and short-term Treasuries. The difference is not cosmetic; legal wrapper determines who can buy, how redemptions work and what recourse investors have.
Private credit tokenization offers higher headline yields but requires deeper underwriting. Maple Finance, Goldfinch and Centrifuge have built markets around borrowers, pools and credit delegates, with yields reflecting borrower risk rather than risk-free rates. These products can be attractive when spreads compensate for default risk, but they cannot be analyzed like stablecoins. Investors need pool-level data, borrower concentration, collateral coverage, maturity schedule and recovery rights.
The most interesting DeFi opportunity is not merely holding RWA tokens; it is using them as productive collateral. If a tokenized Treasury position earns 4.8% and can be borrowed against at a conservative loan-to-value ratio, capital efficiency improves. But protocols must price the settlement delay. A token redeemable in T+1 or T+2 cannot be liquidated like WETH during a five-minute market crash.
Composability Meets Compliance: The Core Design Tension
Permissionless DeFi works because assets can move instantly across AMMs, lending markets, derivatives venues and vaults. Regulated RWAs work because issuers can identify holders, block sanctioned addresses and enforce transfer rules. The bridge between the two is possible, but it is narrower than many tokenization decks admit.
This is why most high-quality RWA tokens are not yet listed freely in Uniswap pools with anonymous liquidity. A regulated fund share cannot generally trade to an unknown counterparty. Instead, liquidity tends to form in permissioned venues, over-the-counter desks, issuer redemption windows or whitelisted DeFi deployments. That reduces network effects but increases institutional comfort.
Chainlink proof-of-reserve, NAV attestations and cross-chain messaging tools can improve transparency, but they do not eliminate trust. A smart contract can verify that an issuer posted a report; it cannot guarantee that the custodian’s assets are unencumbered unless legal, audit and banking relationships support the claim. The oracle problem in RWAs is partly technical and partly institutional.
Stablecoins offer a useful comparison. USDC and USDT are already tokenized claims on off-chain assets, and together they have represented well over $100 billion of circulating on-chain dollars. Their success came from distribution and utility, not pure decentralization. RWA tokenization is following the same path: adoption begins where users value reliable settlement more than ideological purity.
Tokenomics: Which Protocol Tokens Benefit?
RWA growth does not automatically create value for every RWA-themed governance token. Investors should separate asset growth from token accrual. A protocol can grow assets under management while its token captures little revenue if fees accrue to an issuer, asset manager or legal entity rather than token holders.
Maker is the clearest example of meaningful protocol-level impact because RWA income supported the economics of DAI and the Dai Savings Rate. The value link was indirect but measurable: higher asset yield strengthened the surplus buffer and improved the competitiveness of DAI against centralized stablecoins. That is different from a governance token whose only role is voting on parameters while cash flows sit elsewhere.
Ondo, Centrifuge and Maple each represent different tokenomic questions. Ondo has strong product positioning in tokenized Treasuries, but investors must examine what revenue, if any, accrues to ONDO over time. Centrifuge’s CFG is tied to a network for financing real-world assets, where usage, pool creation and governance matter. Maple’s model depends on credit origination quality, delegate performance and institutional borrower demand.
A practical valuation framework should start with fee-bearing AUM, net fee take rate, default-adjusted losses, tokenholder claim and regulatory durability. If a protocol manages $1 billion of tokenized assets at a 30 basis point net take rate, the gross annual revenue pool is $3 million before operating expenses. That can justify infrastructure value, but it does not support venture-scale token valuations unless growth, margins or token capture are credible.
The Risks Are Legal, Not Just Technical
Smart-contract audits are necessary but insufficient for RWAs. The largest risks include bankruptcy remoteness of the issuer, enforceability of investor claims, custodian failure, redemption gates, valuation lag and jurisdictional mismatch. A perfectly audited token can still underperform if the legal wrapper fails during stress.
Liquidity is the most underpriced risk. Many RWA products show stable net asset values because the underlying instruments are marked daily and redemptions occur through an administrator, not because there is deep secondary-market liquidity. In a DeFi liquidation, the relevant question is not “what is the NAV?” but “who will buy size now, at what discount, and with what settlement finality?”
Regulatory risk is also asymmetric. Tokenized fund shares, notes and credit products may be treated as securities in major jurisdictions, which limits retail access and composability. The winners will likely be issuers that embrace compliance early rather than retrofit it after distribution. That favors firms such as Securitize, Franklin Templeton and regulated custodians, but it also creates room for DeFi protocols that provide transparent rails without pretending regulation does not exist.
Outlook: The Bridge Will Be Built in Basis Points
The next phase of RWA tokenization will be less about announcements and more about basis points: lower administration costs, tighter redemption spreads, faster settlement, better collateral haircuts and clearer tokenholder rights. If just 1% of the U.S. money-market fund market migrated on-chain, it would represent more than $60 billion in tokenized cash-management assets, many times the mid-2024 Treasury tokenization base.
For DeFi, the strategic prize is a capital market where tokenized Treasuries serve as base collateral, private credit provides risk premium, stablecoins handle payments, and protocols compete on underwriting and risk management rather than emissions. That is a more mature, lower-volatility vision than the last cycle, but it is also more valuable.
Real-world asset tokenization will not make DeFi indistinguishable from TradFi. The best version does the opposite: it imports the cash flows and legal protections of traditional finance while preserving the transparency, programmability and 24/7 settlement that make DeFi structurally different. The bridge is already open; the question is which protocols can make it safe enough for institutional capital and useful enough for crypto-native users.
